A Brief Profile of the Board of Directors

B N Kalyani

Bharat Forge Limited (BFL), the Pune based Indian multinational is a technology-driven global leader in metal forming having trans-continental presence across 10 manufacturing locations, serving several sectors including automobile, power, oil and gas, rail & marine, aerospace, construction & mining, etc.

Part of Kalyani Group – a US $ 2.5 billion conglomerate, BFL today has the largest repository of metallurgical knowledge and is the largest manufacturer and exporter of automotive components from India.

Born on 7th January 1949, Mr. Kalyani is a Mechanical Engineer from the Birla Institute of Technology and Science at Pilani, Rajasthan. He also has an M.S. in Engineering from the Massachusetts Institute of Technology, USA.

The Kalyani group’s business interests are in

Specialty Steel, Forgings, Auto Components, Renewable Energy & Infrastructure and Specialty chemicals.

The group's annual turnover is USD 2.5 billion and

It has joint ventures with leading global companies that include ArvinMeritor, USA, Carpenter Technology Corporation,
USA, Hayes Lemmerz, USA, FAW Corporation, China, Alstom, NTPC and David Brown Gear Systems UK.

Baba Kalyani joined Bharat Forge in 1972 when the company's annual turnover was about US $ 1.3 million. Under his leadership, Bharat Forge has transformed into a global company with 10 manufacturing facilities spread across India, Germany, Sweden and China. His strong entrepreneurial capabilities have resulted in the company having achieved global leadership in the forging industry.

Mr Kalyani pioneered export of automobile components from India to China in 2002.

Bharat Forge has been the country's No.1 exporter of automotive components for eight consecutive years, with exports
contributing almost 50% to company's total sales.

Every second heavy truck manufactured in USA runs on a "Made by Bharat Forge, India" front axle beam.

Bharat Forge’s global customer base is perhaps the most comprehensive in the forging industry comprising of almost all
OEMs and Tier I suppliers.

As part of company’s diversification into non-automotive business, Bharat Forge has entered into a Joint Venture with ALSTOM Power to manufacture various equipments for super critical power plants coming up in the country.

The manufacturing facility is presently under construction at Mundhra, Gujarat.

CSR INITIATIVES

Mr. Kalyani is the Founder Chairman of Pratham Pune Education Foundation, an NGO that is engaged in providing
primary education to children belonging to under privileged sections of the local community. Since its inception in 2000,
Pratham Pune has made a difference in the lives of over 150,000 children in Pune society.

Mr.Kalyani is also steering a unique initiative to empower rural youth at a Taluka in Pune district by providing free
technical and vocational training at a government Industrial Training Institute [ITI] that is being run as a Public-Private
partnership.The pioneering model is being replicated in other parts of the country.

Mr. Kalyani also supports various other NGOs and charitable institutes engaged in education and in uplifting quality of
lives of the disadvantaged and needy.

The Kalyani Group has also funded a housing project for flood affected families at Koppal District. The project is spread
over an area of 41 Acres with 395 independent houses.

In pursuance of his vision to contribute to a clean and emission free environment,

Mr. Kalyani has set up a new venture Kenersys Limited to manufacture various energy efficient wind turbines for domestic
and international markets.

Mr. Kalyani is also engaged in developing solar energy equipment that would contribute in further strengthening his group’s
footprint in the non conventional energy sector.

In a joint venture with KPIT Cummins, Bharat Forge is developing a unique hybrid solution that would contribute in the
country being able to meet its vehicular emission targets.

Mr.Kalyani's significant contributions to industry and the community have been recognized through various prestigious awards that he has received. Notable among these are:

PADMA BHUSHAN, one of the most distinguished civilian awards by Government of India for his contributions to Trade
and Industry.

DOCTOR OF SCIENCE [honoris causa] by IIT-Kharagpur at the hands of His Excellency President of India Shri
Pranab Mukherjee on 15.9.2012, in consideration of his outstanding contribution to entrepreneurship and in making
Bharat Forge the world leader in forging.

CROSS OF THE ORDER OF MERIT by President of the Federal Republic of Germany at the Hands of the
Ambassador H.E. Michael Steiner in Mumbai on 7.11.12 for playing major role in strengthening the Business & Economic
Ties between India & Germany.

LIFETIME ACHIEVEMENT award by Asian Business Leadership Forum Awards 2012 at Abu Dhabi on 27/11/12.

S M Thakore

Mr. S.M. Thakore, a solicitor, is a Partner in at solicitors’ firm Talwar Thakore & Associates. Born on 23rd July 1947, Mr. Thakore has been on the Board of the Company since 27 June 1986. Mr. Thakore also serves on the Boards of Alkyl Amines Chemicals Limited, Carraro PNH Components (India) Private Limited, Morarjee Textiles Limited, Carborundum Universal Limited, Uni Deritend Limited and Uni Klinger Limited.

S D Kulkarni

Mr S D Kulkarni, born on 20th September, 1934 is an Independent and Non- executive Director. He is a Chartered Accountant and was formerly Chief Executive Officer of Larsen and Toubro Limited. Mr. Kulkarni joined the Board with effect from 24 July 1999.

P G Pawar

Mr. P.G Pawar, B.E. (BITS, Pilani), born on 15th October 1944, is an Independent and Non executive Director. He joined the Company with effect from 24 May 2005.

Mr. Pawar also serves on the Board of P.P Holdings Ltd., Sakal Papers Private Ltd., Finolex Cabels Ltd., Kirloskar Oil Engine Ltd., Force Motors Ltd., Panhala Investment Pvt. Prof. Dr. Uwe Loos

Prof. Dr. Uwe Loos, Graduate Engineer, PhD, born on 6th March 1946, is an independent and Non-Executive Director. Dr Loos was a Member of the Management Board of Porsche AG (1993), for production and logistics and was responsible for the introduction and implementation of a programme to establish worldwide competitiveness in manufacturing. He joined FAG in 1998, a leading ball bearing manufacturer and was appointed Chairman of the Board. During his tenure at FAG, he gained experience with its global operations including India.

Dr. Loos also serves on the Boards of Gildemeiste AG, Bielefeld, Class GmbH, Dorma GmbH, Trumpf GmbH, CDP Bharat Forge GmbH, EDAC GmbH and Rodenstock GmbH, Bharat Forge Aluminiumtechnik & Co. KG. , Bharat Forge Daun GmbH, HP Peizer GmbH and OPEL GmbH.

P C Bhalerao

Mr. P.C. Bhalerao, B.E., M.B.A., D.T.M., born on 4 March 1950, is a Non-Executive Director of the Company with effect from July 31, 2005.

Mr. Bhalerao also serves on the Boards of Meritor HVS (India) Limited, Nandi Infrastructure Corridor Enterprises Limited, Nandi Economic Corridor Enterprises Limited, CDP Bharat Forge GmbH, Bharat Forge Aluminiumtechnik & Co. KG. and Bharat Forge Daun GmbH.

Lalita D. Gupte

Mrs. Lalita Gupte, born on 4th October 1948, holds a Bachelor’s Degree in Economics and a Master’s Degree in Business Management. Mrs. Gupte is an Independent Director of the Company since 5th December 2006. She retired, in October 2006, as the Joint Managing Director of ICICI Bank Ltd. At ICICI Bank, she has vast experience in International Business of the Bank and held leading positions in the areas of Retail and Corporate Banking, Leasing, Planning & Resources and other areas. She was instrumental in transforming ICICI Bank into a technology led leader in diversified financial services business.

She is also a director of ICICI Venture Funds Management Company Limited, Godrej Properties Ltd., HPCL- Mittal Energy Ltd., Kirloskar Brothers Ltd., Swadhaar Finserve Pvt. Ltd.

P H Ravikumar

Mr. P.H. Ravikumar, born on 20th July 1951, is an Independent and Non-executive Director on the Board with effect from 20 May 2009. Mr. Ravikumar has done Bachelors in Commerce and CAIIB, AIB from London. He has also done a Senior Diploma in French. He has total work experience of 36 years in Banking and financial services.

Mr. P.H. Ravikumar is also Director, amongst others, on the Board of Directors of Fed Bank Financial Services Ltd., Eveready Industries Ltd. and SKS Microfinance Pvt. Ltd.

Alan Spencer

Mr. Alan Spencer born on 3rd December 1933 is M.A. from Balliol College, Oxford. Mr. Alan Spencer is on the Board from 21st January 2008. He has vast knowledge and experience of the Automotive industry, being associated with Ford Motors Company for 38 years. Mr. Alan Spencer also serves on the Board of NEFAZ, Russia and RABA, Hungary.

Naresh Narad

Mr. Naresh Narad, B.A., LL.B. and a Veteran IAS Civil Servant, born on 5th May 1944, is an Independent and Non-executive Director on the Board with effect from 24 July 2009.

Mr. Naresh Narad has held various important positions in the Govt. of India and Govt. of Madhya Pradesh.

Dr. T. Mukherjee

Dr. Tridibesh Mukherjee, M. Met., Ph.D., born on 13 October 1942, is an Independent and Non-executive Director on the Board with effect from 23 January 2010.

Dr. Mukherjee, a veteran Metallurgist and a researcher at heart, has authored 134 papers in his career spanning four decades. He has been a Visiting lecturer at University of Sheffield, UK and Adjunct Professor at I.I.T., Kharagpur. He is also a recipient of various prestigious awards.

Dr. Mukherjee has total work experience of 42 years.

Dr. Mukherjee presently serves on the Boards of TIL Ltd. and NICCO Corporation, Tractors India Private Limited, Tata Advanced Materials Limited and IFB Industries Ltd.

G K Agarwal

Mr. G K Agarwal, born on 17th February 1951, B.E. (Mech), MBA, has been on the Board since 01 April 1998. He is elevated as the Dy. Managing Director with effect from 23 May 2006. Mr Agarwal serves on the board of BF Utilities Limited, CDP Bharat Forge GmbH, Bharat Forge Aluminiumtechnik GmbH &Co. KG, Bharat Forge Daun GmbH and Bharat Forge Hong Kong Limited.

Amit Kalyani

Amit B. Kalyani is the Executive Director and on the board of Bharat Forge Ltd. Born on 26th July 1975, Amit has a Bachelor’s in Mechanical Engineering from Bucknell University, Pennsylvania, USA.

A key member of the company’s strategic planning and global business development initiatives, Amit, has been instrumental in driving the overall Kalyani Group Strategy and expansion of its steel business. In his role, he is also responsible for driving the non-automotive, urban infrastructure & real estate initiatives of the Group. Amit also takes care of Investor Relations, Finance, Human Resources & Industrial Relations across the group.

Amit was leading the team that implemented the new performance components facility set up at Bharat Forge in 2002-03. The facility is now a market leader, worldwide. Amit has been driving the Group’s manufacturing activity and has been responsible for the non-auto push.

Amit joined Bharat Forge in 1999 as Vice President and Chief Technology Officer. In his initial days, he played a critical role where he was responsible for implementing Unified MIS System SAP R3.

He later took charge of Investor Relations & was instrumental in raising funds through QIP, GDR, FCCB, Rights Issue & ECB’s, to the tune of $ 700 million over a period of 5 years. He was also active in strategizing and execution of the several acquisitions that the group has done across geographies. He was instrumental in negotiating and setting up new JVs - FAW and Alstom.

The Kalyani Group today, across its businesses is well-capitalized and on a sound financial footing.

As an environmentally conscious company, Amit has been responsible for driving the sustainability initiatives at Bharat Forge. He ensures that the team attempts to make our processes & businesses more environmentally friendly, which means less consumption and re-use as much as possible.

He is working closely in a joint venture with KPIT Cummins to indigenously develop a unique hybrid solution that enables both existing and new vehicles to dramatically increase fuel efficiency and engine performance, while significantly decreasing green house gas (GHG) emissions.

A seasoned professional, an astute leader and a family man; Amit has traversed a myriad paths with astonishing ease.

Amit serves on the Boards of several group companies such as Kalyani Steels Limited, BF Utilities Limited, Kalyani Alstom Power Ltd., BF-NTPC Energy Systems Ltd., Nandi Infrastructure Corridor Enterprises Limited (NICE), Nandi Economic Corridor Enterprises Limited (NECE), Khed Economic Infrastructure Pvt. Limited (KEIPL), KPIT Cummins Infosystems Ltd., among others.

He is also a Member on the Board of Governors of Rajarambapu Institute of Technology, Rajaramnagar since July 2009. He is an active member of the Young President’s Organisation (YPO).

B P Kalyani

Mr. B P Kalyani, B.E.(P), MBA, MS, born 31st July 1962, is an Executive Director of the Company, with effect from 23 May 2006. He has served with the Company for 24 years and was senior Vice President (FMD). He also serves on the Board of Kalyani Utilities Development Ltd.

S E Tandale

Mr. S.E. Tandale, BE (Mech), born 24th September 1968, is an Executive Director of the Company with effect from 23 May 2006. He has served with the Company for 15 years and was Senior Vice President (International Trade Division). He is also a director on the Boards of Bharat Forge America Inc., Bharat Forge Kilsta AB, Bharat Forge Scottish Stampings Ltd., FAW Bharat Forge (Chanchun) Co. Ltd. and Tecnica UK Ltd.

Sunil K. Chaturvedi

Mr. Sunil K. Chaturvedi, born on 5th February 1963, is an Executive Director of the Company. He is a Commerce graduate and Chartered Accountant. He joined Indian Administrative Service, Government of India, in August 1988 and worked in various capacities till January 31, 2008. He has over 23 years of experience. He also serves on the Board of BF-NTPC Energy Systems Ltd. Alstom Bharat Forge Power Limited, Kalyani Mining Ventures Private Limited, BF Infrastructure Limited, Bf Infrastructure Ventures Limited, BF Power Equipment Limited and David Brown Bharat Forge Gear Systems India Limited.
